Non-Disclosure Agreement
A confidentiality agreement governed by Irish law, for two businesses, for two individuals, or between an employer and an employee, former employee or job applicant. It defines the confidential information, the permitted purpose and the permitted recipients, sets the term and the return-or-destroy obligation, and reserves the equitable remedies an Irish court actually grants for breach of confidence. What separates it from a template written for anywhere else is section 14B of the Employment Equality Act 1998, in force since 20 November 2024: an employer may not enter into an agreement that would stop an employee disclosing an allegation of discrimination, victimisation, harassment or sexual harassment, and such an agreement is null and void. The only route to a valid one is the narrow "excepted" agreement the employee requests after taking independent legal advice the employer pays for, of unlimited duration unless the employee chooses otherwise, with a fourteen-day right to withdraw.
